WASHINGTON, DC, May 16, 2005 – Arlington Capital Partners, a Washington DC-based private equity fund, in partnership with the Company’s existing management, today announced the acquisition of Thermal Solutions, Inc., a privately-held provider of custom engineered thermal management and electronics component and systems solutions predominantly for defense and aerospace customers. Thermal Solutions represents Arlington’s seventh acquisition (and third platform acquisition) over the last 12 months.
Thermal Solutions is a leading provider of custom electronic and mechanical assemblies, sub-assemblies, components and fabricated parts for the military, commercial aerospace and other end-markets where thermal management and high-performance electronics are utilized. The Company is headquartered in Hampton, New Hampshire.
“The outsourced thermal management marketplace continues to experience considerable growth as greater amounts of electronics are condensed into smaller footprints in both military and commercial applications,” said Robert Knibb of Arlington Capital Partners. “We believe Thermal Solutions is well positioned to capture a disproportionate share of the benefits. The Company’s combination of engineering, design and manufacturing capabilities allows it to offer a complete, integrated solution that few competitors can duplicate.”
Thermal Solutions is led by Chief Executive Officer Robert Terenzi. Mr. Terenzi has over 40 years of experience in the defense and aerospace industry and has been the CEO of Thermal Solutions since 1997. “Our partnership with Arlington represents a great opportunity to be associated with a firm with a proven track record in aerospace/defense investments and which is dedicated to growth and market leadership,” said Terenzi. “As Thermal Solutions moves forward with Arlington’s support, the Company will look to leverage Arlington’s resources and relationships to bolster its organic growth, market penetration and acquisition pipeline.”
“Thermal Solutions enjoys long-standing relationships with its customers and the Company generates the vast majority of its sales from long-term agreements with blue-chip OEM customers,” said Peter Manos of Arlington Capital Partners. “These entrenched customer relationships and the Company’s thermal engineering capabilities in producing components for some of the most technically demanding military platforms results in Thermal Solutions frequently being the sole source of supply for its customers. With its differentiated technical capabilities, strong relationships and experienced management team, we expect the Company to continue to win new programs and follow-on generations of existing products.”
